Terms and Conditions

Use of the Services
Medvera Inc. is a Delaware corporation operating in Minnesota. Medvera provides software, websites, and related services that support financing workflows for medical equipment providers, lenders, and other participants. You may use the Services only for lawful business purposes and in accordance with these Terms.
You are responsible for ensuring that information you submit through the Services is accurate, complete, and authorized to be shared. You may not misuse the Services, interfere with their operation, attempt to gain unauthorized access, or use them in a way that violates applicable law or third-party rights.
Accounts and Authorized Users
If Medvera provides account access, you are responsible for maintaining the confidentiality of login credentials and for all activity under your account. You agree to notify Medvera promptly if you believe your account has been compromised.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Financing Disclaimer
Medvera is not a lender, broker-dealer, bank, credit bureau, or credit decision maker. Financing approvals, terms, rates, documentation requirements, and funding decisions are determined by participating lenders or financing partners.
Information provided through the Services is for workflow, coordination, and informational purposes only and does not constitute financial, legal, tax, accounting, or credit advice.
Customer Data
You retain ownership of information, documents, and other content submitted to the Services. You grant Medvera the rights necessary to host, process, transmit, and use that information to provide, secure, maintain, and improve the Services.
You are responsible for obtaining all permissions and consents required to submit information to Medvera, including information about practices, customers, applicants, guarantors, equipment, transactions, or financing requests.
Intellectual Property
The Services, including software, interfaces, designs, content, trademarks, and other materials, are owned by Medvera or its licensors and are protected by intellectual property laws.
Except for the limited right to use the Services as permitted by these Terms, no rights are granted to you in Medvera's intellectual property.
Third-Party Services
The Services may integrate with or link to third-party websites, platforms, lenders, customer relationship management systems, payment providers, or other services. Medvera is not responsible for third-party services, and your use of them may be governed by separate terms and policies.
Confidentiality
Each party may receive non-public information from the other party in connection with the Services. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the Services, unless disclosure is required by law.
Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Medvera disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Medvera does not warrant that the Services will be uninterrupted, error-free, secure, or that financing outcomes will meet any particular expectation.
Limitation of Liability
To the fullest extent permitted by law, Medvera will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising out of or related to the Services.
Medvera's total liability for any claim arising out of or related to the Services will not exceed the amounts paid to Medvera for the Services giving rise to the claim during the twelve months before the event giving rise to liability, or zero dollars if no amounts were paid.
Indemnification
You agree to defend, indemnify, and hold harmless Medvera and its officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses arising from your use of the Services, your submitted information, your violation of these Terms, or your violation of applicable law or third-party rights.
Changes and Termination
Medvera may update the Services or these Terms from time to time. Updated Terms will be posted with a new effective date. Your continued use of the Services after updated Terms are posted means you accept the updated Terms.
Medvera may suspend or terminate access to the Services if it reasonably believes these Terms have been violated or if continued access creates legal, security, or operational risk.
Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any dispute arising from these Terms or the Services will be brought in the state or federal courts located in Minnesota, unless applicable law requires otherwise.
